Registered office is the name of the city (town) in which the company is registered, while the registration address is the exact location within the city (town): street, number of the building and premises, postal code, etc.
The registered office of the company, as opposed to the registered address, is indicated in the articles of association. Therefore, a change of the registered office (e.g. from Warsaw to Wrocław), requires an amendment of articles of association and a change of address in the register of entrepreneurs, whereas the change of address itself (e.g. change of address in Warsaw from Złota Street to Mokotowska Street), requires only the registration of the new address in the register of entrepreneurs.
As described above, the registered office of Polish LLC is specified in the articles of association. Therefore, in order to change a company's registered office (for example from Warsaw to Wroclaw), it is necessary to amend the company's articles of association. For this purpose, it is required to:
A resolution on amendment of the articles of association requires the form of notarial deed. In order to sign notarial deed, shareholders must appear in person at the notary's office or grant a power of attorney to another person who will sign the relevant documents on their behalf.
In companies that have been registered online (via S24 system), the procedure of amending articles of association can also be carried out online, without the participation of a notary. For this to be possible, the shareholders and the management board of the company must have Polish electronic signatures.
As indicated above, if company's address remains within the boundaries of the same city andt he change only covers a street, building number, etc., there is no need to amend the articles of association. In this case, it is sufficient to report the new address to the register of entrepreneurs. Therefore, such a change is associated with lower costs.
The whole process of changing company registered office and/or address usually takes 1-4 weeks.
